1. About these terms

These terms govern the purchase and use of a Kitted software licence. By completing a purchase or activating the software you agree to be bound by them. "Hypericon", "we", "us", and "our" refer to Hypericon Ltd, the company that makes Kitted. "You" and "your" refer to the individual or business that purchased the licence.

2. The licence grant

Subject to payment in full, we grant you a perpetual, non-exclusive, non-transferable licence to install and use Kitted on a single computer at a time (one "seat"). You may install the software on multiple machines you own, provided that only one installation is active and in use at any given time.

The licence is personal to you (or to the business entity that purchased it). You may not sell, transfer, sublicence, or assign the licence to any third party.

3. Updates

Your licence entitles you to all software updates released within 12 months of your purchase date at no additional charge. Updates released after this period may be obtained by purchasing a new licence at the then-current price. There is no obligation to update; your existing installation continues to work indefinitely.

4. Restrictions

You must not:

  • copy, modify, or distribute the software except as permitted by these terms
  • reverse engineer, decompile, or disassemble the software
  • remove or alter any copyright or proprietary notices in the software
  • use the software to provide a hosted or managed service to third parties
  • share your licence key with others or allow simultaneous use by multiple users

5. Intellectual property

Kitted and all associated intellectual property remain the property of Hypericon. These terms grant you a licence to use the software; they do not transfer ownership of the software or any part of it to you.

6. Payment and purchase

Prices are shown inclusive of VAT where applicable. Payment is processed by Stripe. Your licence key is emailed to you automatically upon confirmed payment. If you do not receive it within one hour, contact us at [email protected].

7. Refund policy

Because Kitted is downloadable software delivered immediately on purchase, we are not legally required to offer refunds under the UK Consumer Contracts Regulations once you have downloaded and activated the software. However, if you contact us within 14 days of purchase and have not been able to get the software working despite reasonable support efforts, we will issue a full refund at our discretion. Refund requests should be sent to [email protected].

8. Free trial

A free trial version of Kitted is available for download without payment. The trial is fully functional but limited in some way (e.g. record count caps). No licence key is issued for the trial. These terms apply to trial use except for the licence grant in §2, which applies only to paid licences.

9. Disclaimer of warranties

The software is provided "as is" without warranty of any kind, express or implied. To the fullest extent permitted by law, Hypericon disclaims all warranties including fitness for a particular purpose, merchantability, and non-infringement. We do not warrant that the software will be error-free or that it will meet your specific requirements.

10. Limitation of liability

To the fullest extent permitted by law, Hypericon's total liability to you arising out of or in connection with these terms shall not exceed the amount you paid for the licence. In no event shall Hypericon be liable for indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, or business opportunity, even if advised of the possibility of such damages.

Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be limited by law.

11. Data and privacy

Our collection and use of personal data in connection with your purchase and use of Kitted is described in our Privacy Policy.

12. Termination

Your licence terminates automatically and without notice if you breach any of these terms. On termination you must stop using the software and destroy all copies in your possession. Hypericon may also terminate your licence with 30 days' written notice; in that event we will refund a pro-rata portion of any unexpired update entitlement.

13. Governing law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to these terms

We may update these terms from time to time. The updated terms will be posted here with a new "last updated" date. Your continued use of the software after a material change constitutes acceptance. If you do not accept the revised terms you may request a refund under the policy in §7.
